These Terms and Conditions (also referred to as the ‘Terms of Service’) govern the use of the BIZZALI website, program, and related services. Please read these Terms and Conditions carefully before using the services.
1. Introductory Provisions and Acceptance of the Terms
These Terms and Conditions constitute a legally binding agreement between you as the user and BIZZALI LLC as the provider of the digital educational program and related services.
By creating a user account, purchasing access, registering, or otherwise using BIZZALI services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions in full.
If you do not agree to these Terms and Conditions, you are not authorized to use the services, create an account, or purchase access to the program. In such case, you must immediately stop using the services.
These Terms and Conditions apply to all users of the services, whether used free of charge or for a fee, as well as to any future features, extensions, or modifications of the services, unless expressly stated otherwise.
By using the services, you also confirm that you are at least 18 years old or that you have legal capacity to enter into binding agreements under the laws of the country in which you are located. If you use the services on behalf of a legal entity or other organization, you represent that you are authorized to act on its behalf and bind it to these Terms and Conditions.
2. Service Operator and Contact Details
The operator of the website, online program, and all related services is BIZZALI LLC, with its registered address at 30 N Gould St, Ste R, Sheridan, WY 82801, USA.
BIZZALI LLC is a legal entity registered in the United States of America and provides digital services globally, without geographic limitation, unless the laws of a specific country provide otherwise.
Users may contact BIZZALI electronically by email. Questions regarding these Terms and Conditions, payments, or contractual relationships may be directed to support@bizzali.com. Technical questions, issues with account access, or the functioning of the services may be addressed via help@bizzali.com.
The operator reserves the right to communicate with the user primarily in electronic form via the email address provided during registration or purchase. BIZZALI is entitled to provide the user with contractual confirmations, notices, and documents electronically, in particular via email, as a durable medium.
3. Definitions
For the purposes of these Terms and Conditions, the following terms have the meanings set out below:
BIZZALI – means BIZZALI LLC as the operator of the website, online program, and related digital services.
User – means any natural or legal person who visits the BIZZALI website, creates a user account, purchases access to the program, or uses the provided services in any manner.
Services – means all digital services provided by BIZZALI, in particular the website, member area, online program, packages, program content, technical features, and related tools.
Program – means the BIZZALI digital educational program as a whole, including its content, methodology, structure, modules, chapters, lessons, videos, texts, tools, templates, and other materials.
Package – means a specific form of access to the program or parts of it, defined by the scope of content, features, access duration, or other conditions stated on the website at the time of purchase. The user selects a specific package at checkout.
Content – means any part of the program or services, including text, visual, audio, or audiovisual content, documents, files, methodologies, know-how, and other digital materials made available to the user.
User Account / Account – means an individual account created by the user for the purpose of accessing the services and the program, protected by login credentials.
Subscription – means paid access to the program or the selected package for a subscription period. The subscription is provided as an annual subscription for twelve (12) months unless expressly stated otherwise on the website, and may automatically renew in accordance with these Terms and Conditions.
Subscription Period – means the period for which the subscription is paid and during which the user is entitled to use the program or the selected package; typically twelve (12) months unless expressly stated otherwise on the website.
Website – means the official website of BIZZALI and all its subpages, including the member area.
Unless expressly stated otherwise in these Terms and Conditions, terms used in the singular include the plural and vice versa. Headings are for convenience only and do not affect interpretation.
4. Conditions of Use of the Services
BIZZALI services are intended exclusively for the user’s personal and individual use in accordance with these Terms and Conditions. The user may use the services only in a manner that does not violate applicable laws, third-party rights, or BIZZALI’s legitimate interests.
The services are provided primarily in digital form via the website, member area, and the online program. Certain services, including mentoring, exclusive materials, or individual communication, may also be provided via email to the user’s email address specified during registration or purchase.
The user acknowledges that using the services requires a functioning internet connection and appropriate technical equipment on the user’s side. BIZZALI is not responsible for service unavailability caused by technical problems, internet outages, or incorrect device settings on the user’s side.
The user agrees to use the services solely for lawful purposes and to refrain from any conduct that could disrupt the operation of the services, compromise their security, or damage BIZZALI’s reputation. The user must not misuse the services, circumvent technical or content restrictions, or use the services in a manner inconsistent with their purpose.
BIZZALI reserves the right to refuse or restrict services to a user who violates these Terms and Conditions, applicable laws, or acts contrary to the principles of fair use of the services.
The user acknowledges that the program content is educational and informational in nature and is used at the user’s own risk. Results achieved based on the program content may vary and are not guaranteed.
5. User Account and Registration
A user account is created in connection with the purchase of access to the program or a selected package. During the purchase process, the user chooses a username and creates a password, which are used to log in to the member area.
The user must provide truthful, accurate, and up-to-date information during registration and ensure it is updated in case of changes. BIZZALI is not liable for any damage or access limitation caused by incorrect, incomplete, or outdated information provided by the user.
The user account is personal and non-transferable. The user is not authorized to share the account, login credentials, or program content with any third party, nor allow use by another person or entity, whether free of charge or for a fee.
The user acknowledges that access to services linked to the user account is possible only through proper login. If the user loses or forgets login credentials, the user must follow the available instructions on the login page and use the self-service access recovery options.
BIZZALI reserves the right to refuse to create a user account, or to restrict or terminate an existing account, if the user violates these Terms and Conditions, applicable laws, or uses the services contrary to their purpose.
6. Account Security and User Responsibility
The user must keep login credentials confidential and protect them against unauthorized use. The user must not disclose login credentials to any third party or allow another person to access the account.
The user acknowledges full responsibility for all activities carried out through the user account, even if they occur without the user’s knowledge or consent. BIZZALI is not liable for damage or harm caused by account misuse due to insufficient protection of login credentials by the user.
If unauthorized access is suspected, the user must immediately change the password and use available security and self-service tools within the account. In such case, BIZZALI may temporarily restrict or suspend access to the account to protect the user and the services.
The user acknowledges that BIZZALI is not responsible for data loss, access interruption, or other consequences caused by technical issues, internet outages, third-party interference, or other circumstances beyond BIZZALI’s direct control.
The user agrees to use the user account and services in a way that does not compromise the security, stability, or integrity of the services and that complies with these Terms and Conditions.
7. Access to the Program and Digital Content
Access to the program and its content is made available based on the purchased package and an active subscription. The scope of access, available modules, chapters, tools, features, and additional services depends on the package selected at the time of purchase and the conditions stated on the website.
After successful payment, the user gains access to the program through the user account for the duration of the subscription period. Access is provided exclusively in digital form and is linked to a specific user account.
The program content may include text, visual, audio, and audiovisual materials, practical tools, methodologies, templates, instructions, and other materials. BIZZALI reserves the right to continuously update, expand, modify, or change the structure of the program content, without affecting the user’s right to access within the scope corresponding to the purchased package.
7.1 Free Content Preview (Free Trial)
BIZZALI may provide users with a free preview of the program content (the “Free Trial”) as an opportunity to become familiar with the structure, format, and approach of the program. The free preview is provided without payment and without requiring payment details.
To access the free content preview, the user is required to create a user account by providing an email address and any other required information. The created account does not constitute a subscription or entitle the user to full access to the program. The free content preview is available for 14 days from the date of registration. Upon expiration of this period, access to the free content preview terminates automatically.
The free preview may typically include one chapter from each module and samples of selected practical tools from the Build, Mindshift, Influence, Visibility, and Motion modules. Within the BIZZALI AI Studio module, the free preview may include links to publicly available third-party audiovisual materials, especially videos published on external platforms.
The user acknowledges that BIZZALI is not responsible for the content, availability, or accuracy of external third-party materials and that their use is governed by the terms of the respective providers.
The free preview is solely informational and promotional in nature. BIZZALI reserves the right to change, limit, or fully discontinue the scope, content, or availability of the free preview at any time, including without prior notice.
8. Scope and Nature of Services Provided
BIZZALI provides users with digital educational services focused primarily on business, personal development, brand building, modern selling, content creation, and the use of digital tools and artificial intelligence, through the online program, member area, and related digital tools.
Services are provided exclusively in digital form, primarily through the website, member area, email, or other online communication channels. BIZZALI does not provide legal, tax, financial, or investment advice, and program content cannot be considered individualized recommendations tailored to the user’s specific situation.
The program content, methodologies, instructions, procedures, and information are educational and informational only. The user acknowledges that any decisions, steps, or activities carried out based on the program content or services are undertaken at the user’s own responsibility.
BIZZALI does not guarantee specific results, returns, success, or performance from using the program or services. Results may vary and depend on multiple factors, including the user’s skills, experience, effort, time, market conditions, external circumstances, and personal approach.
The scope of services, program content, module structure, chapters, content format, technical solutions, and available features may change, be updated, or expanded over time. BIZZALI may adapt services and content to market and technology developments and its own methodology without an obligation to maintain a specific form or scope as of the purchase date, provided the user retains access within the scope corresponding to the purchased package.
Certain packages may include additional services or activities. Under the Exclusive package, the user is entitled to online mentoring via email for six (6) months from the start of the subscription. Mentoring is provided exclusively through email communication, and BIZZALI typically responds within forty-eight (48) hours on business days. For purposes of this section, business days are Monday through Friday, excluding public holidays observed at BIZZALI’s registered office location.
The user acknowledges that mentoring is provided gradually and in a managed manner. At any given time, at most one open request may be addressed within a single email thread; additional questions or new requests may be submitted only after BIZZALI has responded to the previous request. BIZZALI may consolidate, defer, or reasonably organize user questions to ensure mentoring is delivered fairly, efficiently, and sustainably for all eligible users.
The user acknowledges that online mentoring is educational and informational, does not constitute individualized advice, and is not provided continuously or as immediate support. The scope, form, and availability of mentoring are limited by the terms of the specific package.
BIZZALI may also provide other supplementary activities, such as live streams, workshops, Q&A sessions, community features, or automated tools. These activities may not be available continuously, may not be included in every package, and may change without giving rise to any right to refund or compensation.
The user acknowledges that services may be temporarily limited or unavailable due to maintenance, updates, technical interventions, or circumstances beyond BIZZALI’s control. Such temporary limitations do not entitle the user to a refund, discount, or other compensation.
9. Intellectual Property and License Terms
All content made available within BIZZALI services and the program, including but not limited to texts, videos, audiovisual content, methodologies, procedures, tools, templates, documents, graphic elements, names, program structure, know-how, concepts, databases, and software solutions, is protected by intellectual property laws and is the exclusive property of BIZZALI or its licensors.
By purchasing access to the program or a selected package, the user does not acquire ownership rights to the content or any part of it. The user is granted only a non-exclusive, non-transferable, time-limited, and revocable license to use the content solely for personal, non-commercial, and internal purposes, within the scope corresponding to the purchased package and during an active subscription.
The user may download only those parts of the program content that are expressly designated by BIZZALI as downloadable tools or materials, solely for the user’s personal, non-commercial, and internal use.
Downloading any content or tools does not transfer ownership rights or grant a broader license than expressly stated herein. The user is not authorized to further distribute, share with third parties, sell, rent, sublicense, publicly display, modify, use for commercial purposes, or use downloaded content or tools to train artificial intelligence systems, even in part.
Program content not expressly designated as downloadable may not be stored, copied, recorded, screenshotted, captured, or otherwise technically reproduced by the user, nor may the user circumvent BIZZALI’s protection mechanisms.
The user is expressly prohibited from using the program content, methodologies, instructions, texts, templates, or other materials to train, teach, or improve any artificial intelligence, machine learning, or automated systems, for the user’s own purposes or for third parties, without BIZZALI’s express written consent.
Any breach of this section constitutes a material breach of these Terms and Conditions and entitles BIZZALI to immediately restrict, suspend, or terminate the user’s access to the services and the program without any right to a refund, discount, or other compensation, without prejudice to BIZZALI’s right to damages or other legal remedies.
The user acknowledges that unauthorized use of the content may cause BIZZALI significant material and non-material harm and may lead to civil, commercial, or criminal liability under applicable laws.
10. Rules for Using the Services
The user must use the services and the BIZZALI program strictly in accordance with these Terms and Conditions, applicable laws, and the purpose for which the services are provided. The user agrees to refrain from any conduct that could jeopardize the security, stability, availability, or reputation of BIZZALI, its services, or other users.
The user must not share the user account, login credentials, or program content with third parties, whether free of charge or for a fee, nor allow multiple persons or entities to use one user account.
The user must not use program content or any part of it in violation of the license terms set out herein, in particular by copying, distributing, publicly displaying, selling, renting, sublicensing, or otherwise commercially exploiting it without BIZZALI’s express written consent.
The user must not use the program content, methodologies, tools, templates, or other materials for further distribution or commercial exploitation as a product or service, including for resale, white-label solutions, trainings, courses, consulting, or other paid or unpaid activities, unless the user has BIZZALI’s express written consent. This does not affect the user’s right to apply knowledge gained from the program in the user’s own business or projects.
The user must not circumvent technical, security, or content restrictions, carry out unauthorized technical interventions in the operation of the services, attempt unauthorized access, engage in scraping, automated data extraction, or other misuse of the services.
The user must not use the services in a manner that could harm, discredit, or negatively affect BIZZALI, its brand, reputation, or other users.
The user acknowledges that violating these rules may result in immediate restriction, suspension, or termination of access to the program, services, or the user account, including without prior notice.
In the event of a breach of these rules, the user is not entitled to a refund, discount, or other compensation. This does not affect BIZZALI’s right to seek damages or pursue other legal remedies under applicable laws.
BIZZALI reserves the right to monitor compliance with these rules to the extent permitted by law and to implement appropriate technical or organizational measures to protect its services, content, and rights.
11. Subscription, Payments, and Payment Terms
Access to the BIZZALI program and related services is provided based on the purchased package and an active subscription, unless expressly stated otherwise on the website. The currently available packages, their content, service scope, subscription length, and price are always stated on BIZZALI’s website at the time of purchase.
The package price is final and is clearly displayed to the user before order confirmation. The user pays no additional fees beyond the price shown at the time of purchase.
Payments are processed through third-party payment service providers. BIZZALI does not store users’ payment details and is not responsible for the technical processing of payments, payment service failures, payment delays, or technical issues on the side of payment service providers.
A subscription is considered paid at the moment the payment is successfully processed by the payment service provider. After payment, the user receives access to the program and services within the scope corresponding to the purchased package and for the duration of the subscription period. Access to digital content is made available without undue delay after payment, unless stated otherwise on the website.
The user acknowledges that by purchasing a subscription, the user receives access to digital content and digital services provided electronically. Payment of the subscription alone does not create entitlement to individualized services, consultations, support, or other performance beyond the expressly stated content and functions of the purchased package.
Payment or order confirmation is made available to the user via the payment service provider and/or sent to the email address provided at purchase. This does not affect BIZZALI’s obligations under mandatory applicable laws.
BIZZALI reserves the right to change package prices, subscription structure, or payment terms at any time for new purchases. Changes do not affect subscriptions already paid and active, unless expressly stated otherwise herein.
12. Subscription Term, Automatic Renewal, and Cancellation
Access to the BIZZALI program is provided via a time-limited subscription, typically an annual subscription lasting twelve (12) months unless expressly stated otherwise on the website. The subscription period begins on the activation date following successful payment processing.
Annual subscriptions are set to renew automatically. Information about automatic renewal, subscription length, price, and the cancellation method is clearly and understandably displayed to the user before completing the order.
After the subscription period ends, the subscription automatically renews for another period of the same length unless the user cancels automatic renewal in time. The user acknowledges that responsibility for canceling automatic renewal lies solely with the user.
Automatic renewal can be canceled online through the user account without contacting support.
Canceling automatic renewal does not immediately terminate access to the program or services. After cancellation, the user continues to have access until the end of the already paid subscription period, unless access is terminated for other reasons in accordance with these Terms and Conditions.
After canceling automatic renewal, confirmation is typically displayed directly in the user interface and/or available in the payment service provider’s interface, depending on the technical solution used.
If an automatic renewal payment fails, the payment service provider may make repeated attempts to process it. During resolution of a failed payment, access may be temporarily restricted. If payment cannot be successfully processed within a reasonable time, the subscription will not renew and access will end after the original subscription period expires.
The user acknowledges that non-use of the program, services, or any part of them during the subscription period does not entitle the user to a refund, discount, or other compensation.
13. Program Price, Updates, and Price Guarantee
Under the purchased package, the user has access during an active subscription to all content, features, and services included in that package. The subscription price includes all future updates, expansions, new chapters, new tools, new modules, feature improvements, or content adjustments that BIZZALI makes available within the purchased package.
The user acknowledges that within the BIZZALI program there are no mandatory surcharges, hidden fees, upsell offers, or additional payments for updates or content expansions, as long as such content and features are part of the purchased package.
BIZZALI reserves the right to create new packages, products, services, or features that may not be included in existing packages. Such new packages or products may be priced separately and are governed by a separate offer valid at the time of launch.
BIZZALI also reserves the right to change package prices for new purchases. However, a user with an active subscription who does not interrupt its continuity is guaranteed to keep the original price paid for the package, even if the price of that package increases in the future.
The price guarantee applies exclusively to uninterrupted active subscriptions. If a subscription is canceled, interrupted, or terminated for any reason, the right to the original price ends, and any repurchase will be subject to the price valid at the time of the new purchase.
14. Refund Policy
The user acknowledges that the BIZZALI program and related services constitute digital content and digital services provided electronically, access to which is granted immediately after successful payment processing.
BIZZALI offers a 7-day money-back guarantee from the date of purchase. If the user is not satisfied with the program, the user may contact BIZZALI within 7 days of purchase at support@bizzali.com and BIZZALI will refund the full amount paid — no questions asked.
After the 7-day period from the date of purchase has expired, BIZZALI does not provide a further money-back guarantee. After this period, the user is not entitled to a refund, discount, or other compensation unless expressly stated otherwise in these Terms and Conditions or unless such right arises from mandatory applicable law.
The user acknowledges that prior to purchase, the user can become familiar with the nature, format, structure, and processing of the program through publicly available information and a free content preview, if made available.
A refund may exceptionally be granted only if there is a demonstrable technical error on BIZZALI’s side that continuously or repeatedly prevents the user from accessing the program or a substantial part of it for a reasonable period, and BIZZALI had an objective opportunity to remedy the issue. In such case, BIZZALI may, at its discretion, provide a fix, an appropriate access extension, or a refund, but not exceeding the price paid for the relevant subscription period, if required by mandatory applicable laws.
Non-use of the program or services, subjective dissatisfaction, a change in the user’s personal situation, a change in priorities, failure to achieve expected results, or disagreement with program content do not entitle the user to a refund, discount, or other compensation after the expiration of the 7-day money-back guarantee period.
In the case of automatic renewal, the user is not entitled to a refund for the new subscription period unless automatic renewal was canceled before it occurred in accordance with these Terms and Conditions.
The user expressly acknowledges that, to the extent permitted by mandatory applicable law, by consenting to immediate provision of digital content and commencement of digital services before the end of a withdrawal period, the user may lose the right to withdraw from the contract without giving a reason. This does not affect statutory consumer rights that cannot be contractually excluded or limited.
14.1 Express Consent to the Provision of Digital Content
The user acknowledges that the BIZZALI program and related services constitute digital content and digital services provided electronically.
The user expressly consents to making the program available and to commencing the provision of digital content and digital services immediately after successful payment processing, i.e., before the expiration of any statutory withdrawal period.
The user acknowledges that by granting this consent, the user may, to the extent permitted by mandatory applicable law, lose the right to withdraw from the contract without giving a reason. Notwithstanding the above, BIZZALI voluntarily provides a 7-day money-back guarantee in accordance with the conditions set out in Section 14 of these Terms and Conditions.
This consent is expressed by actively checking the relevant box before completing payment, and constitutes an inseparable part of the contract concluded between the user and BIZZALI.
After the order is completed, the user is provided with an electronic order confirmation and a summary of basic terms on a durable medium, typically via email or in the payment service provider’s interface.
This section does not affect statutory consumer rights that cannot be contractually excluded or limited.
15. Changes to Services, Program, and Content
BIZZALI reserves the right to change, update, expand, modify, or otherwise adapt the services, the program, and its content at any time, including the program structure, modules, chapters, tools, features, content format, technical solutions, and methods of service delivery.
The user acknowledges that changes may include adding new elements, modifying existing elements, or removing certain parts of the program, provided that the user’s access within the scope corresponding to the purchased package and active subscription is not affected.
Changes to the program, services, or content may be implemented without prior notice and do not entitle the user to a refund, discount, or other compensation.
BIZZALI may adapt the program and services to market developments, technology, legislative requirements, its methodology, or strategic direction. The user acknowledges that the specific form, scope, or format of the program may change over time.
Changes do not affect the price guarantee under Section 13, provided the user meets the conditions for maintaining the price stated in that section.
16. Disclaimer of Warranties
BIZZALI services and program are provided “as is” and “as available.” BIZZALI makes no express or implied warranties regarding functionality, availability, error-free operation, accuracy, completeness, or fitness for a particular purpose.
BIZZALI does not guarantee that the program, services, or their content will be continuously available, error-free, secure, or always fully functional. The user acknowledges that temporary interruptions, limitations, or technical errors may occur even if BIZZALI uses reasonable efforts.
BIZZALI makes no warranties or promises regarding achieving specific results, success, returns, profits, business growth, performance improvement, or other expected benefits from using the program or services.
The user acknowledges that any information, recommendations, procedures, or examples in the program are educational and informational only and do not constitute legal, tax, financial, investment, or other professional advice.
Use of the program and services is at the user’s own risk. BIZZALI is not responsible for the user’s decisions, steps, or actions taken based on the program content or services.
17. Limitation of Liability
BIZZALI is not liable for any direct or indirect damage, harm, loss of profit, loss of opportunity, data loss, business interruption, or other pecuniary or non-pecuniary damages arising in connection with the use or inability to use the program, services, or their content, unless such liability arises from mandatory applicable law.
BIZZALI is not liable for damages resulting from the user’s decisions, actions, or omissions based on information, recommendations, procedures, or examples provided in the program or services.
To the maximum extent permitted by law, BIZZALI’s total liability to the user for any claims arising from the use of the program or services is limited to the amount the user paid BIZZALI for the subscription in the period for which the claim is asserted.
BIZZALI is not liable for damages caused by technical issues, internet outages, failures of the user’s devices, third-party interference, force majeure, or other circumstances beyond BIZZALI’s direct control.
Nothing in these Terms and Conditions excludes or limits BIZZALI’s liability where such exclusion or limitation is not permitted under applicable law.
17.1 Complaints and Technical Defects of Digital Content and Services
The user may submit a complaint solely in the case of technical defects or non-conformity of digital content or digital services with what was expressly agreed within the purchased package.
A complaint primarily concerns situations in which the digital content or digital services are not available or not accessible due to technical reasons on BIZZALI’s side, including cases where login is not possible, content does not display, or does not function within the scope corresponding to the purchased package.
The user must submit a complaint without undue delay after discovering the technical defect and provide reasonable cooperation necessary for identifying and resolving it.
Within a reasonable time, BIZZALI will take appropriate steps to restore access or bring digital content or digital services into conformity with the contract, if technically possible and reasonable.
If conformity cannot be achieved or cannot be achieved within a reasonable time, BIZZALI will provide appropriate remedial measures as required by mandatory applicable laws, in particular a reasonable access extension or another solution corresponding to the nature and scope of the technical defect.
This does not affect statutory consumer rights that cannot be contractually excluded or limited.
18. Indemnification and Protection of the Company
The user agrees to indemnify BIZZALI for any damage, harm, costs, or expenses incurred by BIZZALI as a result of the user’s breach of these Terms and Conditions, breach of law, or infringement of third-party rights.
The indemnification obligation includes, in particular, legal representation costs, court and out-of-court fees, third-party claims, penalties, fines, or other reasonable expenses incurred in connection with asserting or defending BIZZALI’s rights.
The user acknowledges that violating obligations under these Terms and Conditions, in particular license terms, rules of use, or intellectual property rights, may cause substantial damage to BIZZALI.
BIZZALI’s right to claim indemnification does not affect BIZZALI’s right to restrict, suspend, or terminate the user’s access to the services or program under these Terms and Conditions, nor BIZZALI’s right to pursue other legal remedies under applicable laws.
19. Suspension or Termination of Access
BIZZALI reserves the right at any time, including without prior notice, to temporarily restrict, suspend, or fully terminate the user’s access to the program, services, or user account if the user breaches these Terms and Conditions, applicable laws, or uses the services contrary to their purpose.
Grounds for suspension or termination may include, in particular, violation of license terms, unauthorized distribution or sharing of content, misuse of the user account, violation of rules of use, attempts to circumvent technical restrictions, infringement of intellectual property rights, or other conduct that may harm BIZZALI, its services, or other users.

BIZZALI also reserves the right to restrict or terminate access if necessary to protect service security, prevent abuse, comply with legal obligations, or based on a decision of a competent public authority.
Termination of access does not affect the validity of provisions that by their nature should survive termination, in particular provisions on intellectual property, limitation of liability, indemnification, dispute resolution, and final provisions.
20. Governing Law, Jurisdiction, and Dispute Resolution
These Terms and Conditions, as well as all contractual relationships between the user and BIZZALI LLC, are governed by the laws of the State of Wyoming, United States of America, without regard to its conflict-of-law rules that would lead to the application of another jurisdiction’s laws.
If the user is a consumer, nothing in these Terms and Conditions limits or excludes the user’s rights under mandatory consumer protection laws of the country of the user’s habitual residence, to the extent such rights cannot be contractually excluded or limited.
The user acknowledges and agrees that any disputes, claims, or disagreements arising in connection with the use of the program, services, or these Terms and Conditions will be resolved primarily amicably through mutual communication.
If a dispute cannot be resolved amicably, it will be submitted to the competent state or federal court in the State of Wyoming, United States of America, based on the registered seat of BIZZALI LLC, unless mandatory laws provide otherwise.
The user agrees that claims against BIZZALI LLC will be pursued primarily on an individual basis and not through class, collective, or representative actions, to the maximum extent permitted by mandatory applicable laws.
BIZZALI LLC may also seek injunctive or interim relief before a competent court to protect intellectual property, service security, or prevent harm.
21. Final Provisions
These Terms and Conditions constitute the entire and binding agreement between the user and BIZZALI LLC regarding the use of the program and provided services and replace all prior agreements, statements, or understandings, whether oral or written, relating to the same subject matter.
If any provision of these Terms and Conditions is found invalid, ineffective, or unenforceable, this does not affect the validity, effectiveness, or enforceability of the remaining provisions. Such provision will be replaced by a provision that most closely reflects the meaning and purpose of the original provision.
BIZZALI LLC reserves the right to reasonably amend or update these Terms and Conditions. The updated version will be published on the website and becomes effective on the date stated with the update.
If the change is material, BIZZALI LLC will notify the user in an appropriate manner, in particular through a notice on the website or within the user account. By continuing to use the program or services after the changes become effective, the user agrees to the updated version.
If the user does not agree with the change, the user may stop using the services and cancel automatic renewal of the subscription; access remains available until the end of the already paid subscription period, unless terminated in accordance with these Terms and Conditions.
